1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Empiric Apps ("Company," "we," "us," or "our") governing your access to and use of our applications—Nautilus (Docker & Kubernetes Management) and Tappie (Homebrew Package Manager)— collectively the "Apps," and our website at https://empiricapps.com (the "Website"), collectively referred to as the "Service."

By downloading, installing, or using the App, or by accessing the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

You must be at least 16 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

Empiric Apps provides native macOS applications for everyone:

Nautilus

Nautilus is a macOS application that provides a graphical user interface for managing Docker containers, Docker Compose projects, and Kubernetes clusters. Nautilus requires Docker (via Lima VM), and optionally kubectl for Kubernetes features, to be properly configured on your system.

Tappie

Tappie is a free macOS application that provides a graphical user interface for managing Homebrew packages. Tappie requires Homebrew to be installed on your system.

The Service includes:

• The Nautilus and Tappie macOS applications
• License management and activation services (for Nautilus)
• Software updates and patches
• Documentation and support resources
• The Empiric Apps website

We do not provide Docker, Kubernetes, or Homebrew themselves; these are third-party technologies with their own licenses and terms.

3. License Grant

3.1 Tappie (Free)

Tappie is provided free of charge. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Tappie on any number of devices you own.

3.2 Nautilus License Types

Upon purchase and subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Nautilus according to your license type:

• Subscription License: Valid for the duration of your paid subscription period. Includes updates released during your subscription.
• Lifetime License: Valid indefinitely for the major version purchased. Includes all updates and new features.

3.3 Permitted Use

• Install and use the App on the number of devices specified by your license tier
• Use the App for personal or commercial purposes
• Make backup copies of the App for archival purposes

3.4 Restrictions

You may NOT:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Share, transfer, or sublicense your license key to others
• Use the App to violate any applicable laws or regulations
• Circumvent any license restrictions or security measures
• Use automated systems to generate or validate license keys
• Use the App in any way that could damage, disable, or impair the Service

3.5 Device Activations (Nautilus only)

Your Nautilus license permits activation on a limited number of devices as specified in your license tier. You may deactivate a device to free up an activation slot. Excessive activation/deactivation patterns may be flagged as potential license abuse. Tappie does not require license activation.

4. Payments, Billing, and Refunds

4.1 Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. By making a purchase, you also agree to Paddle's Terms of Use and Privacy Policy.

Paddle handles all billing, payment processing, tax calculation, and compliance. All prices are shown inclusive of applicable taxes, which are calculated based on your location.

4.2 Subscription Terms

• Subscriptions automatically renew at the end of each billing period
• You may cancel your subscription at any time through your Paddle account
• Cancellation takes effect at the end of the current billing period
• No partial refunds are provided for unused subscription time
• We may change subscription pricing with 30 days' notice

4.3 Refund Policy

We offer a 30-day money-back guarantee on all purchases. If you are not satisfied with the App for any reason, contact us at contact@empiricapps.com within 30 days of purchase for a full refund.

Refunds after 30 days are handled on a case-by-case basis. Refunds may be denied in cases of license abuse or violation of these Terms.

4.4 Free Trial

We offer a 14-day free trial with full access to all features. No payment information is required to start a trial. At the end of the trial, you must purchase a license to continue using the App.

5. Intellectual Property

The App, Website, and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Empiric Apps and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Nautilus," "Tappie," "Empiric Apps," and their respective logos are trademarks of Empiric Apps. You may not use these marks without our prior written permission.

Docker, Kubernetes, Homebrew, and other third-party trademarks are the property of their respective owners. Their use in the Apps does not imply endorsement or affiliation.

6. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your license key
• All activities that occur under your license
• Ensuring your use of the App complies with all applicable laws
• Maintaining backups of your own data and configurations
• The security and content of your containers, images, and clusters
• Ensuring your system meets the minimum requirements for the App

You understand that the App is a management interface and that you are solely responsible for any actions taken through the App on your containers, images, or clusters.

7. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the App will be corrected
• The App will be compatible with all system configurations

You acknowledge that container and cluster management involves inherent risks, and you use the App at your own risk.

8. Limitation of Liability

Maximum Liability: Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Empiric Apps and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Any content or data you manage through the App

10. Termination

10.1 Termination by You

You may stop using the Service at any time. For subscriptions, you may cancel through your Paddle account, which will take effect at the end of your current billing period.

10.2 Termination by Us

We may terminate or suspend your license immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your license to use the App will immediately cease
• You must uninstall and destroy all copies of the App
• We may disable your license key
• Provisions that by their nature should survive termination will survive

10.3 Effect of Termination

Termination does not affect any data in your containers or clusters—the App is only a management interface, and your infrastructure remains yours.

11. Updates and Changes

11.1 App Updates

We may release updates to the App from time to time. While we recommend keeping the App updated, you control when to install updates. Some updates may be required for continued functionality.

11.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11.3 Changes to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@empiricapps.com. We will attempt to resolve the dispute informally within 60 days.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

12.3 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Your Jurisdiction], and you consent to the personal jurisdiction and venue therein.

12.4 EU Consumer Rights

If you are a consumer in the European Union, you will benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Empiric Apps regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
